About

An independent advisory built for San Diego business owners

SD Exit Advisory exists because most San Diego owners approaching a sale have a broker problem they don't know they have, a tax problem they're going to find out about, and a preparation problem that's quietly costing them more than either. The work is to fix all three before a transaction starts — not while it's underway.

What the firm does

We work privately with San Diego business owners in the 1–3 years before a sale. The engagement is independent advisory: flat fee, no commission, no listing arrangement, no obligation to use any particular broker, attorney, or CPA at the end. Our job is to help you walk into the eventual transaction prepared, with the right people in the right seats, and with your interests represented at every step.

What the firm does not do

  • We do not list businesses. There's no marketplace presence.
  • We do not earn commission on a sale.
  • We do not introduce you to buyers without your written consent.
  • We do not provide legal, tax, or accounting advice — that's what your attorney and CPA are for. We help you find the right ones.

Who the work is for

San Diego County business owners thinking about selling in the next 1–3 years, with revenue anywhere from a few hundred thousand to mid-seven figures. Industries we see most often: professional services, light industrial and trades, healthcare services, hospitality, and tech-adjacent companies.

No business is too small. The questions don't change with size — only the dollar amounts attached to getting them wrong.

Background

The principal has corporate M&A experience evaluating acquisitions on the buy side and has personally navigated the sale of a business on the sell side. Both perspectives matter. Knowing what buyers look for, what kills deals in diligence, and what gets transactions done at premium multiples comes from having sat on both sides of the table — not from a script.

We deliberately keep the firm's profile low. Confidentiality is the foundation of the work, and that extends to how we present ourselves publicly. If you'd like more detail about the principal, that conversation happens privately on the introductory call.

Service area

San Diego County, including San Diego, La Jolla, Del Mar, Encinitas, Carlsbad, Rancho Santa Fe, Coronado, Chula Vista, El Cajon, Escondido, Poway, and Carmel Valley. Engagements outside the county are considered case by case.

How to start

The first step is a free confidential call. No pitch, no obligation. If we're a fit, we agree on a scope. If not, you walk away with a clearer picture of where you stand. Either way, what you share with us stays with us.
